Real Estate

We assist investors, developers, owners, users and lenders, on a national, regional and local level, with a vast array of real estate and commercial transaction-related services in structuring, negotiating, documenting, and completing real estate transactions. We work alongside our clients throughout each project phase to help them maximize returns on their investments. Our experience throughout numerous real estate markets and economic cycles is extremely valuable in helping clients assess the risk and reward profile of each property at any point in its life cycle.

Acquisitions and Dispositions

Our attorneys provide a full array of services when a property is acquired or sold, including transaction negotiation, land use and entitlement matters, environmental issues and local, state and federal regulatory matters. We have experience in the purchase and disposition of land, developing and developed projects, and operating and challenged properties.

Entity Establishment

We establish entities for the ownership, operation, development and management of commercial real estate, including joint ventures, general partnerships, limited partnerships, limited liability companies and corporations, and often consult with our tax attorneys during this process to provide effective solutions for our clients. Our experience includes the negotiation of entity documents related to sponsors, equity investors, and co-developers as well as structuring entity ownership in a manner that achieves the client’s desired goals for the specific project.

Construction Service Agreements

Our attorneys are actively involved with construction projects, including negotiating and drafting construction and architectural services agreements.

Municipal and County Land Use

We have expertise in dealing with a variety of governmental land use matters such as zoning, subdivision, development agreements and other land use issues, analyzing current land entitlements and obtaining new entitlements and development incentives. Our attorneys also provide experience in developing and maintaining long-term public-private partnerships.

Real Estate Disputes

When combined with our litigation practice area, our real estate attorneys have broad experience in real estate litigation, arbitration, mediation and dispute resolution involving real estate contract disputes, commercial landlord/tenant disputes, construction disputes, and other matters that cannot be resolved through negotiations.

Development

From the drawing board to topping out, our attorneys advise clients with the development of real estate projects across product type and location, including in-fill, mixed use projects, high tech and healthcare campuses and master planned communities.

Leasing

From negotiating and documenting lease agreements to ongoing operations of fully  developed properties, we assist clients in the full range of landlord and tenant matters. Our attorneys’ experience spans representing owners of Class A commercial buildings in their day-to-day leasing and operations matters to representing tenants in lease negotiations for headquarters and other strategic locations.

Condemnation

We represent our clients in connection with eminent domain proceedings. Throughout this process, we work with outside appraisal and land use professionals to evaluate damage models and alternate paths to agreed compensation. In situations where prior agreement has not been reached, our attorneys represent our clients in contested administrative hearings.

Financing

Our attorneys counsel, negotiate and provide full documentation for all matters related to construction and permanent loans, conduit loans, joint venture transactions, ground leases, leveraged and synthetic leases, loan participation agreements, mezzanine loans, sale-leasebacks, sale-leasebacks and bankruptcy matters (including workouts and foreclosures).
