Mary Marek


Mary focuses her practice on a variety of corporate and transactional matters with an emphasis on mergers, acquisitions and divestitures, private debt and equity securities issuances and related transactions in a broad range of industries including energy, technology and others.

Mary assists small and large companies, private equity and venture capital firms and other corporate clients in connection with a broad variety of matters.  Mary’s private equity and venture capital experience includes investments by institutional investors, majority and minority investments by fund clients in portfolio companies, including by way of leveraged buyouts, and related private issuances of equity and debt securities as well as add-on acquisitions by portfolio companies.  In addition, Mary assists small and large companies in negotiating and consummating stock and asset purchase and sale transactions.

Mary also assists clients with entity formation, negotiation of internal governance documents, equity incentive plans, supply, services and other operational agreement, as well as advising on corporate restructurings, private offerings to new investors and limited offering exemptions under the securities laws.
